Terms of service
Last updated: 4 November 2026
1. Agreement
These terms govern your use of ExoHuman Cloud, the ExoHuman website and related services (the “Service”) provided by ExoHuman (“we”, “us”). By creating an account or using the Service on behalf of an organisation, you accept these terms for that organisation (the “Customer”). Enterprise customers are governed by their signed agreement, which prevails over these terms.
2. The Service
We provide a dedicated ExoHuman instance in the region you select, operate its infrastructure and run your agents on compute resources according to the profiles you configure. Features available to you depend on your plan as described on the pricing page at the time of purchase.
3. Accounts
You are responsible for the accuracy of account information, for keeping credentials confidential and for all activity under your account, including actions taken by agents you configure. Notify us immediately of any unauthorised use.
4. Fees and billing
- Plans have a monthly base fee, charged in advance.
- Compute is charged per minute of agent running time at the rate of each compute profile; storage above the plan allowance is charged per GB-month. Usage is invoiced monthly in arrears.
- Model usage is billed directly by your providers when you bring your own keys, or by us at provider list price plus the published margin when you use the managed gateway.
- Prices exclude VAT and other applicable taxes. Payments are processed by our payment provider.
- If a payment fails we will notify you; the instance may be suspended after 14 days of non-payment. Data is retained during suspension.
5. Budgets and limits
You can set spending limits and concurrency limits for your instance. You are responsible for configuring limits appropriate to your workloads. Usage incurred before a limit is reached is billable.
6. Customer data
You retain all rights to data you or your agents put into the Service (“Customer Data”). We process Customer Data only to provide the Service, as described in our privacy policy and, where applicable, a data processing agreement. You can export your data at any time. After cancellation we delete Customer Data within 30 days, except where retention is required by law.
7. Acceptable use
You may not use the Service to break the law, infringe rights, send unsolicited bulk messages, attack other systems, mine cryptocurrency, or attempt to access other customers’ data or our source code. You are responsible for complying with the terms of third-party services and model providers your agents use.
8. Agents and approvals
Agents act on your instructions and configuration. You are responsible for reviewing and approving actions routed to approval gates and for the consequences of actions you allow agents to take autonomously.
9. Availability
We aim for continuous availability. Plans with an SLA receive service credits as described in the SLA. Scheduled maintenance is announced in advance where possible.
10. Intellectual property
The Service, its software and documentation remain our property. We grant you a non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, reverse engineer or redistribute it.
11. Cancellation
You may cancel at any time from your account. Cancellation takes effect at the end of the current billing period; usage up to that date is invoiced. We may terminate for material breach after notice.
12. Liability
To the extent permitted by law, our aggregate liability is limited to the fees paid by you in the twelve months before the claim, and we are not liable for indirect or consequential losses.
13. Changes and law
We may update these terms with at least 30 days’ notice for material changes. These terms are governed by the laws of Spain, and the courts of Madrid have jurisdiction, without prejudice to mandatory consumer protections.
